  To: GU CHUJUN, ZHANG XIHAN, HU XIAOHUI, LIU CONGMENG, XU WANPING and FAN JIAYAN , former directors of Greencool Technology Holdings Limited whose last known residential and office addresses are located in Beijing, the People＇s Republic of China.

  TAKE NOTICE that:-

  (1) a Notice to the Market Misconduct Tribunal of the Hong Kong Special Administrative Region, that market misconduct within the meaning of section 277 of Part XIII of the Securities and Futures Ordinance, Chapter 571 of the Laws of Hong Kong, has or may have taken place in relation to the securities of Greencool Technology Holdings Limited, has been issued against each of you by the Hong Kong Securities and Futures Commission (the "Commission") on 17 June 2014 and the Market Misconduct Tribunal has been asked to conduct proceedings and determine (a) whether any market misconduct has taken place, (b) the identity of each person, if any, who has engaged in the market misconduct and (c) the amount of any profit gained or loss avoided as a result of the market misconduct and the substantive hearing of the matters stated in the Notice was held between 14 September 2015 and 1 December 2015;

  (2) on 1 December 2015, the Market Misconduct Tribunal directed that the Commission and each of the Specified Person to file their written closing submissions by 8 January 2016 and 29 January 2016 respectively and their oral submissions in support of their respective cases be heard at 2:30 pm on Thursday, 18 February 2016 at Room 702, Tower 2, Lippo Centre, 89 Queensway, Hong Kong Special Administrative Region;

  (3) if the Tribunal does not hear from you on or before 18 February 2016, the Tribunal may proceed to make such order(s) and/or relief(s) against any person specified in the Notice dated 17 June 2014 as it deems appropriate in your absence.

  A copy of the written closing submissions filed by the Commission on 8 January 2016 may be obtained from the Legal Services Division of the Securities and Futures Commission of which the offices are on the 35th Floor, Cheung Kong Center, 2 Queen＇s Road Central, Hong Kong.

  (1) 香港证券及期货事务监察委员会（“本会”）已于2014年6月17日针对你们各人向香港特别行政区市场失当行为审裁处发出通知，该通知指格林柯尔科技控股有限公司股票涉及曾经发生或可能曾经发生香港法例第571章《证券及期货条例》第XIII部第277条所指的市场失当行为，并请求市场失当行为审裁处进行研讯并裁定：(a)是否曾经发生市场失当行为；(b)每名曾经从事该失当行为的人（如有）的身份；及(c)因该失当行为而获取的任何利润或避免的损失的金额，而有关该通知所述事宜的正式研讯已于2015年9月14日至2015年12月1日进行；

  (2) 2015年12月1日，市场失当行为审裁处指示本会及指明人士，各自分别于2016年1月8日及2016年1月29日之前提交其书面结案陈词，而各方为支持本身各自的案情而作出的口头结案陈词将于2016年2月18日（星期四）下午2时30分在香港特别行政区金钟道89号力宝中心第二座702室进行研讯；

  (3) 倘若审裁处于2016年2月18日或之前未收到你们作出的陈词，审裁处便可能会在你们缺席的情况下，对于2014年6月17日所发出的通知中的任何指名人士作出其认为适当的有关命令及／或宽免。

  本会于2016年1月8日提交的书面结案陈词的副本，可向证券及期货事务监察委员会法律服务部索取，其办事处位于香港皇后大道中2号长江集团中心35楼。
